SSR Mining Just Paid $712 Million for Converse. Here Is What Roxmore Shareholders Walk Away With.

When I first wrote about this company, it was still called Axcap Ventures and traded on the CSE under AXCP. It owned one of the largest undeveloped gold deposits in Nevada, and almost nobody was paying attention. My argument back then was simple: a deposit of that size, in that jurisdiction, does not stay cheap forever.

On October 13, Roxmore Resources (TSX: RM) (OTCQX: GARLF) announced that SSR Mining has agreed to acquire the company for total consideration of approximately $712 million on a fully diluted basis. Roxmore shareholders will receive $6.75 in cash plus 0.33 of a share in a new exploration spinout for every Roxmore share they own.

This is exactly the outcome the Converse thesis was built around. A North American producer looked at a large, open-pit, heap-leach gold project on the Battle Mountain-Eureka Trend and decided it wanted to own it outright.

The Deal in Plain Numbers

The cash portion alone comes to roughly $663 million. On top of that, shareholders receive stock in a newly created company, referred to as Roxmore Spinco, with an implied value of about $49 million, or roughly $0.50 per Roxmore share.

That puts the total package at around $7.25 per share. According to the company, that represents a premium of approximately 58% to Roxmore’s 20-day volume-weighted average price and 36% to the October 9 closing price on the TSX. Strip out the spinout entirely and the cash alone is still a 47% premium to the 20-day VWAP.

The number I find most telling is a different one. The $6.75 cash payment is a 181% premium to the price Roxmore used in its $32.6 million financing in March 2026. Investors who backed that raise roughly 2.8x their money in cash in about seven months, before counting a single Spinco share.

For perspective, Axcap used to point out that Converse was trading at around $5 per ounce of gold resource. Measured against the 5.57 million ounces of measured and indicated resources in the February 2025 technical report, SSR’s cash offer works out to well over $100 per ounce. That is the rerate in one comparison.

Why SSR Wanted Converse

SSR Mining describes itself as the third-largest gold producer in the United States, with four operating mines across the USA, Canada and Argentina and 2026 guidance of 450,000 to 535,000 gold equivalent ounces. Producers at that scale need a pipeline, and large undeveloped ounces in Nevada are increasingly hard to find.

Converse checks the boxes. It sits on the Battle Mountain-Eureka Trend, one of the most productive gold belts in the world. It is a bulk-tonnage deposit suited to open-pit, heap-leach mining, which is a style of operation Nevada knows well. And it was one of the largest deposits in the state not already owned by a major.

The last twelve months is what turned it from a cheap resource into an acquisition target. In September 2025, John Dorward and the former Roxgold team joined Axcap, raised capital and took over the Converse story. Under the new team, the company rebranded as Roxmore, moved to the TSX, and in April 2026 delivered a positive Preliminary Economic Assessment outlining an open-pit heap-leach operation with an initial 14-year mine life.

They did not stop at the PEA. Roxmore launched a 30,000-metre infill and extension drill program aimed at converting and growing measured and indicated resources ahead of a pre-feasibility study. In May, the company reported 110.9 metres grading 1.31 g/t gold near the base of the PEA pit and showed mineralization roughly 400 metres below the pit floor. By September, three rigs were turning.

In my view, that is the playbook majors and mid-tiers reward. Take a known deposit, put a credible team behind it, de-risk it with a study, then show it is getting bigger. Dorward said as much in the announcement, crediting the progress made since the new board and management took over. This is the same group that built and sold Roxgold to Fortuna, and many of them were at Fronteer Gold before Newmont bought it. They have done this before.

The Part Most People Will Overlook: Roxmore Spinco

Most of the headlines will focus on the cash. I think the spinout deserves just as much attention, because it is where shareholders keep their upside.

SSR is only taking Converse. Everything else goes into Roxmore Spinco, which will be led by Dorward and the existing Roxmore technical and executive team. It will start life with US$10 million in cash, no debt, and three projects:

Rattlesnake Hills, Wyoming (100%). Roughly 101,000 metres of historical drilling, with an indicated resource of 0.62 million ounces at 0.77 g/t gold and an inferred resource of 0.42 million ounces at 0.69 g/t. The gold is associated with an alkalic intrusion, and multiple targets elsewhere on the property remain untested or poorly tested.

Newton, British Columbia (100%). A pit-constrained inferred resource of 0.84 million ounces of gold at 0.64 g/t, plus 4.51 million ounces of silver. The resource remains open along strike and at depth.

Shabu River, Ontario (100%). A large, contiguous claim package in the Birch-Uchi Greenstone Belt in northwestern Ontario. This is the grassroots, district-scale piece of the portfolio.

Add it up and Spinco holds close to 1.9 million ounces of gold resources across two North American projects, plus an exploration land package, plus US$10 million in the bank. Existing Roxmore shareholders will own 85.01% of it. SSR will hold the remaining 14.99%.

That SSR stake matters. A producer that just paid more than $660 million in cash for Converse is choosing to keep a strategic position in the leftover assets. It does not guarantee anything, but it is a clear vote of confidence in the team and the ground.

At an implied value of about $49 million for shareholders’ stake, with a meaningful portion of that backed by cash, the market is being handed a resource-stage company at a very modest valuation per ounce. If this team can repeat even part of what it did at Converse, I think Spinco could become an interesting story in its own right.

How Likely Is It to Close?

The deal looks well protected. Roxmore’s board approved it unanimously and recommends shareholders vote in favour. Three firms, ATB Cormark Capital Markets, Canaccord Genuity and SCP Resource Finance, have provided fairness opinions.

L1 Capital, Roxmore’s largest shareholder, along with all directors and officers, has signed voting support agreements covering about 26.8% of the shares. The arrangement needs two-thirds of votes cast at a special meeting expected in December 2026, plus a majority of disinterested votes. The agreement includes the usual non-solicitation and matching rights, as well as a break fee payable to SSR in certain circumstances.

If everything goes to plan, the transaction should close in December 2026, at which point Roxmore will be delisted from the TSX.

The risks are the usual ones for an arrangement. The vote could fail, a condition might not be met, or the spinout shares might not list as expected, which would affect what that $0.50 of Spinco value is actually worth on day one. A competing bid is possible but, in my view, unlikely given the support already locked up.

My Take

This is how a junior mining story is supposed to end. A company that was barely on the radar as Axcap brought in a proven team, advanced Converse through a PEA and an aggressive drill program, and is now being bought for cash by a major U.S. producer at a significant premium.

For existing shareholders, the cash locks in a strong result and removes the construction, financing, dilution and gold price risk that come with taking a project like Converse to production. That risk now belongs to SSR.

And unlike most takeovers, this one does not end the ride. Shareholders keep 85% of a new company run by the same people, holding close to 1.9 million ounces of gold, a district-scale land package in Ontario, US$10 million in cash and a major producer on the shareholder register.

Converse was the reason I paid attention to Axcap. Roxmore Spinco may be the reason I keep paying attention to this team.
